These
terms and conditions apply to users who are consumers in terms of
the Consumer Protection Act, 68 of 2008 (the “CPA”).
No
content in these terms and conditions is intended to unlawfully
restrict, limit or avoid any rights or obligations for either
Amplen Industries or you, the consumer.
You may not cede, assign
or otherwise transfer your rights and obligations in terms of
these terms and conditions to any third party.
Any failure
on the part of you or Amplen Industries to enforce any right in
terms hereof shall not constitute a waiver of that right.
If
any term or condition contained herein is declared invalid, the
remaining terms and conditions will remain in full force and
effect.
No variation, addition, deletion, or agreed
cancellation of the terms and conditions will be of any force or
effect unless in writing and accepted by or on behalf of the
parties hereto.
These website terms and conditions (“terms and conditions”) govern the quotation, ordering, sale and delivery of goods, and the use of the website.
These
terms and conditions are binding and enforceable against every
person that accesses or uses this website (“you”, “your” or
“user”), including without limitation each user who registers as
contemplated below (“registered user”). By using and registering on
the website you acknowledge that you have read and agree to be
bound by these terms and conditions. It is your responsibility to
contact Amplen Industries should you require any clarification on any of
the listed provisions within these terms and conditions. Do not
use the website if you do not agree to the terms and conditions.
The website https://amplen.co.za/ and any related mobile sites and software applications (“the site”) is owned and operated by Amplen Industries.
Amplen
Industries may, in its sole discretion, at any time and for any
reason and without prior written notice, suspend or terminate the
operation of the website or the user’s right to use the website or
any of its contents subject to us processing any orders then
already made by you.
You must register to order from the
website. You agree that, once the correct username and password
relating to your account have been entered, irrespective of whether the
use of the username and password is unauthorised or fraudulent, you
will be liable for payment of such order, save where the order is
cancelled by you in accordance with these terms and conditions. You
agree to notify Amplen Industries immediately upon becoming aware
of or reasonably suspecting any unauthorised access to or use of
your username and password and to take steps to mitigate any
resultant loss or harm.
Your submission of personal information through the store is governed by our Privacy Policy.
By
using the website, you warrant that you are 18 (eighteen) years of
age or older and of full legal capacity. If you are under the age
of 18 (eighteen) or if you are not legally permitted to enter into a
binding agreement, then you may use the website only with the
involvement and supervision of your parent or legal guardian. If
your parent or legal guardian supervises you and gives his/her
consent, then such person agrees to be bound to these terms and
conditions and to be liable and responsible for you and all your

pharm, pretext, spider, crawl, or scrape; (c) for any obscene or
immoral purpose; or (d) to interfere with or circumvent the
security features of the website or any related website, other websites,
or the Internet.
We reserve the right to terminate your
use of the website or any related website for violating any of the
prohibited uses.
Occasionally there may be information on
our site or in the service that contains typographical errors,
inaccuracies or omissions that may relate to product descriptions,
pricing, promotions, offers, product shipping charges, transit
times and availability. We reserve the right to correct any errors,
inaccuracies, or omissions, and to change or update information or
cancel orders if any information in the service or on any related
website is inaccurate at any time without prior notice (including
after you have submitted your order).
We undertake no obligation
to update, amend or clarify information in the service or on any
related website, including without limitation, pricing information,
except as required by law. No specified update or refresh date
applied in the service or on any related website, should be taken
to indicate that all information in the service or on any related
website has been modified or updated.
All notices in terms of
these terms and conditions must be sent by email and must be in
English. All notices sent by email will be deemed to have been
received on the date indicated in the “read receipt” notification.
All email communications between you and Amplen Industries must
make use of the “read receipt” function to serve as proof that an
email has been received.
We do not warrant that the quality of
any products, services, information, or other material purchased or
obtained by you will meet your expectations, or that any errors in
the service will be corrected.
We reserve the right to discontinue any product at any time.
We
shall not be liable to you or to any third-party for any
modification, price change, suspension, or discontinuance of any
product or service.
We reserve the right, but are not obligated,
to limit the sales and / or quantities of our products or services
to any person, geographic region, or jurisdiction. We may exercise
this right on a case-by-case basis.
These terms and
conditions and our relationship and/or any dispute arising from or
in connection with these terms and conditions shall be governed and
interpreted in accordance with the laws of the republic of South
Africa. Your continued use of the website will constitute your
consent and submission to the jurisdiction of the South African
courts regarding all proceedings, transactions, applications or the
like instituted.
Nothing in these terms and conditions
limits your right to approach any court, tribunal or forum of
competent jurisdiction in terms of the CPA.

Systems designed according to customer specifications

The
customer shall indemnify Amplen Industries on demand against all loss,
damages, costs, and expenses awarded against or incurred by Amplen
Industries in connection with or paid or agreed to be paid by Amplen
Industries in settlement of any claim arising out of the following:infringement
of any patent, copyright, design, trademark or other industrial or
intellectual property rights of any other person which results from
Amplen Industries use of the customer’s specification; and/orany
impracticality, inefficiency or lack of safety or other defect in the
goods where such defect is due (whether in whole or in part) to faults
or omissions in information, drawings, designs, instructions, or
specifications of the Customer.Amplen Industries reserves the
right to make any changes in the specification of the goods which are
(in Amplen Industries’s opinion) required to conform with any applicable
statutory or legal compliance requirements or, where the goods are to
be supplied to Amplen Industries’s specification, which does not
materially affect their quality or performance.
All designs manufactured and created by Amplen Industries remains the intellectual property of Amplen Industries.

Tips, advice and information provided

While
Amplen Industries provides professional advice regarding the usage of
goods supplied, the suitability of the goods for the use contemplated by
the client is the sole responsibility of the client, and Amplen
Industries shall in no way be held responsible or accountable for the
suitability of the goods sold for any end use.
While Amplen
Industries applies its best efforts to the design of solar power
solutions, Amplen Industries does not guarantee that the functioning or
performance of a system is fit for purpose or meets the needs of the
user.
We are not responsible if information made available on
this site is not accurate, complete, or current. The material on this
site is provided for general information only and should not be relied
upon or used as the sole basis for making decisions without consulting
primary, more accurate, more complete, or more timely sources of
information. Any reliance on the material on this site is at your own
risk.
This site may contain certain historical information.
Historical information, necessarily, is not current and is provided for
your reference only. We reserve the right to modify the contents of this
site at any time, but we have no obligation to update any information
on our site. You agree that it is your responsibility to monitor changes

Sales & availability of stock

Registered
users may place orders for goods, which Amplen Industries may
accept or reject. Whether or not Amplen Industries accepts an order
depends on the availability of goods, correctness of the
information relating to the goods (including without limitation the
price) and receipt of payment or payment authorisation by Amplen
Industries for the goods.
Note: Amplen Industries will
indicate the rejection of your order by cancelling it and, as soon as
possible thereafter, refunding you for any amount already paid.
Prior
to delivery of the goods, you may cancel an order at any time
provided you do so before receiving a dispatch or delivery notice.
After delivery of the goods, you may return the goods only in
accordance with the returns policy. All cancelled orders may liable
to incur a 25% handling fee at Amplen Industries`s sole
discretion.
Placing goods in a wish-list or shopping basket
without completing the purchase cycle does not constitute an order
for such goods, and as such, goods may be removed from the
shopping basket if stock is no longer available or the price
thereof might change without notice to you. You cannot hold Amplen
Industries liable if such goods are not available or are not available
at the price when you complete or attempt to complete the purchase
cycle at a later stage.
You acknowledge that stock of
all goods on offer is limited and that pricing may change at any time
without notice to you. In the case of goods for sale by Amplen
Industries, Amplen Industries will take all reasonable efforts to
monitor stock levels and ensure that when stock is no longer
available, that offers thereof are discontinued on the website.
However, we cannot guarantee the availability of stock. When goods
are no longer available after you have placed an order, Amplen
Industries will notify you and you will be entitled to a refund of
any amount already paid by you for such goods.
We shall take all
reasonable efforts to accurately reflect the description,
availability, purchase price and delivery charges of goods on the
website. However, should there be any errors of whatsoever nature
on the website (which are not due to our gross negligence), we
shall not be liable for any loss, claim or expense relating to a
transaction based on any error, save – in the case of any incorrect
purchase price – to the extent of refunding you for any amount
already paid.

Payment

We
are committed to providing secure online payment facilities. All
transactions are encrypted using appropriate encryption technology.
For all the goods that are for sale by Amplen Industries, payment can be made for goods via –Electronic Funds Transfer (EFT)Debit or credit card payments via our payments processor, Peach Payments.
Once
you have selected your payment method, you will be directed to a
link to a secure site for payment of the applicable purchase price
for the goods.
All payments must appear in our bank account
before goods are released, unless otherwise specifically stated in
our quotation.
Minimum quantities may apply.
Prices
quoted are subject to exchange rate fluctuations and any variation
will be for the customer’s account should the invoice value change
between quotation and order placement.
Quotations are
valid for 7 calendar days from the date of the quotation for
existing stock only. Quoting of existing stock does not in any way
reserve the stock on your behalf and in no way guarantees that the
stock will be available when you want to complete the sale at a
later stage. Should stock become unavailable during the 7 calendar
day period, the quotation will lapse.
The issuing of a quotation
or a pro forma invoice issued as a quotation represents no
obligation until Amplen Industries accepts the customer’s official
purchase order.
All quotations and prices therein are provided with errors and omissions excepted.
All quotations are subject to our payment terms.

Delivery of goods

Amplen Industries offers one methods of delivery of goods to you. You may elect delivery via:Courier
Our
delivery charges are subject to change at any time, without prior
notice to you. You will see the applicable delivery charges in your cart
when you check out.
Where it accepts your order, Amplen
Industries will deliver the goods to you as soon as reasonably possible,
we will notify you if we are unable to deliver the goods during the
delivery period. You may then, within 7 (seven) days of receiving such
notification elect whether to cancel your order for the goods. If you
elect to cancel your order, we will reimburse you for the purchase
price. Should any delays which are beyond Amplen Industries’s control
take place, Amplen Industries will not be liable for any costs or losses
incurred by the customer through such a delay.
Amplen
Industries’s obligation to deliver a product to you is fulfilled when we
deliver the product to the physical address nominated by you for
delivery of the order. Amplen Industries is not responsible for any loss
or unauthorised use of a product, after it has delivered the product to
the physical address nominated by you.
Amplen Industries is not responsible for any loss or damage caused while goods are in transit.
Where
the goods are delivered to an independent carrier, delivery to the
carrier shall be deemed to be delivery to the customer. Where the goods
have been delivered to the carrier, Amplen Industries is not responsible
for goods lost or damaged in transit.

Warranty & Returns

Amplen
Industries complies with the minimum requirements as set out in the
Consumer Protection Act. Any additional warranties offered are held by
the distributor or manufacturer of the warrantied product.
Manufacturers’ warranties specified on the site or in manuals are not
Amplen Industries’s warranties and are subject to the manufacturer's
terms and conditions of warranty and may not apply in South Africa. No
other warranty is given or implied.
Warranties are "carry-in", i.e. the customer must return the item under warranty to Amplen Industries at their own expense.
Commissioning, installation and electrical work are excluded unless specifically quoted.
Should
Amplen Industries supply the incorrect Product or if the Product
supplied is damaged or faulty, Amplen Industries shall exchange the
Product for a new one, provided that the damaged or incorrect unit is
returned in its original packaging with all warranty cards, manuals and
accessories within 10 (ten) working days of the delivery of the Product
to the Customer. Cash refunds will not be given, and no returns will be
accepted. Amplen Industries will replace any damaged or faulty Product
or an incorrect Product with a new Product within a reasonable amount of
time. Shortages and claims must be raised with Amplen Industries within
8 hours of receipt of goods.
Items with seals on them will not be accepted back if the seal is broken. This will be regarded as a used item.
Warrantees on products are from suppliers and may vary accordingly.

Changes to these terms and conditions

Amplen
Industries may, at its sole discretion, change any of these terms and
conditions at any time. It is your responsibility to regularly check
these terms and conditions and make sure that you are satisfied with the
changes. Should you not be satisfied, you must not place any further
orders on, or in any other way use, the website.
Any such change
will only apply to your use of this website after the change is
displayed on the website. If you use the website after such amended
terms and conditions have been displayed on the website, you will be
deemed to have accepted such changes.

Communication

When
you visit the website or send emails to Amplen Industries, you consent
to receiving communications from Amplen Industries or any of our
divisions or partners.

Termination

Amplen Industries reserves the right to terminate any of the orders or jobs based on the following:The customer ceases, or threatens to cease, to carry on business for any reason whatsoever;If
in our sole judgment you fail, or we suspect that you have failed, to
comply with any term or provision of these terms and conditions, we also
may terminate this agreement at any time without notice and you will
remain liable for all amounts due up to and including the date of
termination; and/or accordingly may deny you access to our services (or
any part thereof).
The obligations and liabilities of
the parties incurred prior to the termination date shall survive the
termination of this agreement for all purposes.
These terms and conditions are effective unless and until terminated by either you or us.
You
may terminate these terms of service at any time by notifying us that
you no longer wish to use our services, or when you cease using our
website.

Disclaimer

The
use of the website is entirely at your own risk and you assume full
responsibility for any risk or loss resulting from use of the website or
reliance on any information on the website.
Amplen Industries
disclaims liability for any damage, loss or expenses, whether direct,
indirect or consequential in nature, arising out of or in connection
with your access to or use of the website and/or any content therein
unless otherwise provided by law.
In addition to the disclaimers
contained elsewhere in these terms and conditions, Amplen Industries
also makes no warranty or representation, whether express or implied,
that the information or files available on the website are free of
viruses, spyware, malware, trojans, destructive materials or any other
data or code which is able to corrupt, destroy, compromise, disrupt,
disable, harm, jeopardise or otherwise impede in any manner the
operation, stability, security functionality or content of your computer
system, computer network, hardware or software in any way. You accept
all risk associated with the existence of such viruses, destructive
materials or any other data or code which is able to corrupt,
compromise, jeopardise, disrupt, disable, harm or otherwise impede in
any manner the operation or content of a computer system, computer

save where such risks arise due to the gross negligence or wilful
misconduct of Amplen Industries, its employees, agents or authorised
representatives. Amplen Industries thus disclaims all liability for any
damage, loss or liability of any nature whatsoever arising out of or in
in connection with your access to or use of the website.

Limitation of liability

Amplen
Industries cannot be held liable for any inaccurate information
published on the website and/or any incorrect prices displayed on the
website, save where such liability arises from the gross negligence or
wilful misconduct of Amplen Industries, its employees, agents or
authorised representatives. You are encouraged to contact us to report
any possible malfunctions or errors.
Amplen Industries shall not
be liable for any direct, indirect, incidental, special or
consequential loss or damages which might arise from your use of, or
reliance upon, the website or the content contained in the website; or
your inability to use the website, and/or unlawful activity on the
website.
You hereby indemnify Amplen Industries against any
loss, claim or damage which may be suffered by yourself or any third
party arising in any way from your use of this website.

agree to indemnify, defend and hold harmless Amplen Industries and our
parent, subsidiaries, affiliates, partners, officers, directors, agents,
contractors, licensors, service providers, subcontractors, suppliers,
interns and employees, from any claim or demand, including reasonable
attorneys’ fees, made by any third-party due to or arising out of your
breach of these terms & conditions or the documents they incorporate
by reference, or your violation of any law or the rights of a
third-party.
In no case shall Amplen Industries, our directors,
officers, employees, affiliates, agents, contractors, interns,
suppliers, service providers or licensors be liable for any injury,
loss, claim, or any direct, indirect, incidental, punitive, special, or
consequential damages of any kind, including, without limitation lost
profits, lost revenue, lost savings, loss of data, replacement costs, or
any similar damages, whether based in contract, tort (including
negligence), strict liability or otherwise, arising from your use of any
of the service or any products procured using the service, or for any
other claim related in any way to your use of the service or any
product, including, but not limited to, any errors or omissions in any
content, or any loss or damage of any kind incurred as a result of the
use of the service or any content (or product) posted, transmitted, or
otherwise made available via the service, even if advised of their
possibility.

Entire agreement

The
failure of Amplen Industries to exercise or enforce any right or
provision of these terms & conditions shall not constitute a waiver
of such right or provision.
These terms & conditions and any
policies or operating rules posted by us on this site or in respect to
the service constitutes the entire agreement and understanding between
you and us and govern your use of the service, superseding any prior or
contemporaneous agreements, communications and proposals, whether oral
or written, between you and us (including, but not limited to, any prior
versions of the terms of service).
Any ambiguities in the interpretation of these terms & conditions shall not be construed against the drafting party.

Governing Law

These
terms & conditions and any separate agreements whereby we provide
you services shall be governed by and construed in accordance with the
laws of South Africa.

Refund policy

Amplen Industries (Pty) Ltd shall not be required to accept the
return of any goods, unless defective within the warranty period, if at
the customer`s direction the goods have been:

physically altered;
partially or entirely disassembled;
joined or combined with non-compatible products resulting in damage to goods and / or property.

Customers
may return any product bought from Amplen Industries (Pty) Ltd within
the manufacturer warranty period if the product is or becomes defective
under normal usage subject to manufacturer`s warranty policy as outlined
in Amplen Industries (Pty) Ltd`s warranty policy.

Returns

Returns take place after the ordered products have been paid for and have been delivered to the customer.

In
the event of an order returned due to non-delivery (recipient not
available at specified delivery address during attempts by our
shipping partners), the transit costs will be at the expense of the
customer.
Damaged goods must be reported to Amplen
Industries (Pty) Ltd within 10 business days after delivery has
taken place in order to be eligible for returns / exchanges.
Customers must ensure that the returned products are back at our
premises a maximum 15 business days after the delivery date.
No
refunds or exchanges are allowed for scratched (cosmetic damage),
or physically damaged products after the delivery note / waybill
was signed without noting any form of damage on the waybill in the
presence of the delivery driver. The absence of noting any damages on
the delivery note / waybill shall be sufficient proof that any
physical damage to the products did not occur during or before
delivery of the products to the customer.
No refunds or
exchanges are allowed for installed, scratched (cosmetic damage),
or damaged products, other than as set out in our warranty policy.
No refunds or exchanges will be allowed if tampering is evident on any returned product.
Removal
of and / or clear tampering damage to warranty seals of any
product nullifies the product`s eligibility for return or refund.
No
inverter or battery will be eligible for return / exchange if the
warranty seals have been broken as a result of opening the casing
for fault finding purposes or as a result of failed repair attempts
by any person other than the manufacturer`s authorised repair
technicians.
Serial numbers of returned items must match our records.
Products
need to be thoroughly inspected upon opening and any contents of
the box that seems missing or incorrect need to be reported to us
immediately – we need pictures of all the items in the box to be
emailed to sales@amplen.co.za
and we will take this up with our various suppliers. Once installed
we cannot assist with missing, damaged or incorrect items and this
will be for the customer’s account.
Customers may request a
full refund within 10 business days after delivery in accordance
with sections 16, 19 (5) & (8), 20, 55 (3), & 56 of the
Consumer Protection Act, 68 of 2008. Amplen Industries (Pty) Ltd
does charge a 20% handling fee which is to be deducted from the
refund amount. Products returned must be unused, undamaged and in a
resalable as new condition, and must include the original
packaging material, manuals, blank warranty cards, and other
additional accessories provided with the product by the manufacturer.
Customers must ensure that the returned products are back at our
premises a maximum 15 business days after the delivery date.
Customers
may return products that were correctly supplied as per their
order within 10 business days of taking delivery of such products,
for a refund minus a 20% restocking fee which is to be deducted
from the refund amount. Products returned must be unused, undamaged
and in a resalable as new condition, and must include the original
packaging material, manuals, blank warranty cards, and other
additional accessories provided with the product by the manufacturer.
Customers must ensure that the returned products are back at our
premises a maximum 15 business days after the delivery date.
If
any component of the returned product is missing, Amplen
Industries (Pty) Ltd may refuse to accept the return or may
alternatively impose additional charges against the customer for the
replacement of the missing component.
Customers are responsible for return shipping unless otherwise specifically agreed upon in a written agreement.
It
is highly recommended that customers include insurance for the
entire value of the shipment for all reverse logistics (returns of
products) to Amplen Industries (Pty) Ltd.
Customers are
required to bear the cost of shipping as well as the cost of
shipping insurance required for the entire value of the shipment to
return the product to Amplen Industries (Pty) Ltd. The customer
agrees that Amplen Industries (Pty) Ltd cannot be held liable for
the shipping costs for returns and / or warranty returns of
products from the customer to Amplen Industries (Pty) Ltd.
Should
the customer not include shipping insurance for the entire value
of the shipment to return products to Amplen Industries (Pty) Ltd,
the risk of loss for the products in the shipment remains for the
customer`s account. The customer indemnifies Amplen Industries
(Pty) Ltd for any loss whatsoever that may occur during transport
of the products from the customer to Amplen Industries (Pty) Ltd.
Amplen Industries (Pty) Ltd is under no obligation to refund any costs incurred for reverse logistics to customers.
Returns to Amplen Industries (Pty) Ltd`s premises must take place between 8am and 4pm on a business day.
Proof of purchase is required for all returns.

Non-returnable products

Non-returnable
products include, but are not limited to the following (unless they
arrive defective or damaged at the customer`s delivery address):

Custom made items according to customer specifications;
Cut-to-length electrical wires & cables;
Communication cables & data cables;
Fuses & fuse holders;
Pre-wired / pre-fabricated DB boards;
Solar mounting accessories & solar rails;
Solar carports & ground mount structures;
Clearance or on-sale items at the time of purchase;
Any
used / opened products with no manufacturing defect except in the
case of warranty claims as per our warranty policy;
Any
undamaged items outside of the 10 business days after the time of
delivery in accordance with the CPA (Consumer Protection Act, 68 of
2008) of which no visual damage was recorded on the delivery note /
waybill which should be signed by the customer.

Returns process

Please follow the next steps to initiate a return:

Send an e-mail requesting return of an order to sales@amplen.co.za which contains:The reason for the return;Proof of purchase of the order;Copy of customer ID Document;Customer contact number;Proof of customer`s banking account into which the refund must be paid.
Please
submit all required documents, photos, proof of purchase, as well
as other applicable information as guided by our returns team via
email communication.
Repair centres may take up to 21
days for warranty claim assessments from the date of arrival of
the product at the repair centre.
All products that are
returned must be correctly packaged in original packaging or
similarly packaged to original packaging for protection during
transport.
Returned products undergo thorough inspection
by our sales and technical staff, and may be subject to further
inspection by the manufacturer if deemed necessary at Amplen
Industries (Pty) Ltd`s sole discretion.
Amplen Industries
(Pty) Ltd will now update the customer on the progress of the
returned products whether it be for a refund, exchange or warranty
claim.
Any cash refund to be made will be made by EFT
(electronic funds transfer) to the account from which the payment was
originally made, or alternatively to a nominated account of which the
proof of account must be provided by the customer to Amplen
Industries (Pty) Ltd.
Amplen Industries (Pty) Ltd will aim
to process any refund within 15 Business days of the date on which
Amplen Industries (Pty) Ltd confirms in writing to the customer
that a refund will be made.

Cancellations

Cancellations
take place after the ordered products have been paid for, are possibly
picked and packed by our warehouse staff, but the products have not yet
been handed over to our courier partners, or to a customer`s specific
courier for delivery to the customer.

Any order is
subject to cancellation by Amplen Industries (Pty) Ltd if the
products ordered becomes unavailable due to any cause beyond Amplen
Industries (Pty) Ltd`s reasonable control.
Amplen
Industries (Pty) Ltd cannot be held liable for any standing time loss,
delay in construction, construction progress fines or any loss of
profit whatsoever as a result of cancelling an order due to
non-availability of products or parts.
A cancellation
timeframe of 24-hours will take effect once an order has been
placed. If the customer cancels the order after the 24-hour timeframe,
then a 5% penalty fee will be incurred by the customer for the
reverse-processing of the order by Amplen Industries (Pty) Ltd.
A restocking fee may be applicable for cancellations on orders of bulky products such as solar panels.
In
the event of a cancellation for specially manufactured or ordered
products or goods, the deposit on these products or goods is
non-refundable.

Refunds

Refunds will be handled as follows:

Any applicable handling fee`s, restocking fee`s,
or penalty fee`s will be deducted from the refund amount before
the refund is paid to a customer.
Amplen Industries (Pty) Ltd is under no obligation to refund any costs incurred for reverse logistics to customers.
Amplen
Industries (Pty) Ltd will aim to process any refund within 15
Business days of the date on which Amplen Industries (Pty) Ltd
confirms in writing to the customer that a refund will be made.
